A company’s legal representative performs an important role in dealings with counterparties, authorities and courts. The company charter, appointment documents and allocation of authority should make that role clear.
Understand the role and its limits
The legal representative is not necessarily the same person as an external lawyer, a shareholder or the manager responsible for every daily task. Review the governing documents to understand the person’s title and powers.
Where more than one representative is appointed, unclear allocation of authority can create practical problems in signing, approvals and accountability. Corporate records should explain the intended arrangement and comply with the applicable company rules.
Check appointment, eligibility and continuity
Before an appointment, review the candidate’s legal eligibility, the company’s decision-making process and the information to be registered. A general statement that a person must have no criminal history is not a substitute for checking the actual statutory restrictions.
Plan how the company will continue to act when the representative travels, becomes unavailable or leaves the role. A written delegation should identify its scope and duration; it should not be treated as removing all responsibility from the person delegating.
Align practical authority with company records
Maintain the charter, appointment or removal decisions, registration information and relevant powers of attorney. Counterparties should be able to establish who may act for the company and whether additional internal approval is needed for a transaction.
